IMAP POLICY

Effective September 01, 2020, and IMAP (Internet Minimum Advertised Price) policy that has been adopted by Heinimex will take effect and will replace and supersede all prior IMAP policies ever issued by Heinimex. This new policy applies to all Heinimex customers, dealers, and resellers and is being implemented in order to avoid any further distribution channel conflicts and to better serve our customers.

Further, the policy outlined below is being adopted and unilaterally implemented by Heinimex as part of its efforts to preserve the premium branding and pricing associated with the company’s products. Any information relating to a Heinimex product on an Internet website is considered to be advertising for purposes of the policy set out in this memo. Thus, this policy is applicable to any and all advertising of the company’s products over or by the Internet, whether done through a website controlled by a customer, through an auction website such as eBay®, or through Internet placements with third parties (e.g., banner ads and destination pages).

The following Internet Minimum Advertised Price (“IMAP”) Policy of FoodState, Inc. (also d/b/a Heinimex and referred to in this iMAP Policy as “Heinimex”) applies to all resellers and retailers selling through Online Locations and/or advertising through Electronic Media (collectively “Resellers”).

Heinimex has established this iMAP Policy for its products. The iMAP Policy applies to all Online Locations for any Heinimex product and to all Electronic Media. “Online Location” is defined as any virtual place where end-users can purchase Heinimex products, including the Internet and websites. “Electronic Media” means all advertisements for any Heinimex products in any and all virtual/online/electronic media, including, but not limited to the Internet, websites, shopping carts, newspapers, magazines, catalogs, flyers, coupons, mailers (including eBlasts, etc.), email, and the like.

This Policy does not apply to “non-internet advertisements,” or “price quotes,” as those terms are defined here.

A “non-internet advertisement” is a Reseller-initiated media message and/or message aimed at the general public through a medium other than the internet like (i) print advertising (including, to newspapers, magazines, inserts, coupons, brochures); (ii) broadcast advertising (including radio and television); (iii) direct advertising (including catalogs, newsletters, direct mail pieces, flyers, and broadcast faxes, whether mailed, hand-delivered, or shipped in-box with the product);

A “price quote” is the price that a Reseller communicates to a particular customer who inquires about a product covered by this IMAP Policy, whether the inquiry or the quote was transmitted orally, by telephone, by email, or by letter.

Website features such as “click for price”, “add to cart for price”, and other similar features are considered to be communications initiated by the Reseller (rather than by the customer) and thereby constitute “advertising” under this IMAP Policy.

Advertising that expressly or by implication advertises a price that is less than the IMAP Policy price (e.g., “price too low to show”, “so low we can’t advertise”, “sale price”, “instant rebates”, and so forth) is deemed to violate this IMAP Policy.

It shall not be a violation of this IMAP Policy to advertise that a customer may “call for price” or “email for price,” or to use similar language, specifically with respect to Heinimex products if a price is not listed.

IMAP POLICY VIOLATIONS

Reseller understands that a violation of this policy is immediate grounds for and will result in terminating the Reseller’s relationship with Heinimex.

ESTABLISHMENT OF AND CHANGES TO IMAP POLICY

Heinimex may modify or terminate this Policy at any time. Likewise, Heinimex may suspend this Policy for certain promotions or time periods at its sole discretion. Heinimex will notify Resellers at least thirty (30) days in advance of any change to the IMAP Price, and Resellers must implement the new iMAP Price by the end of such thirty (30) day period.

Heinimex is establishing this Policy unilaterally without Reseller involvement. Resellers are not required to or even allowed to assent to this Policy. Resellers may choose to follow the Policy or not, understanding that failure to follow the policy will lead to the consequences identified above. The terms of this Policy are non-negotiable and will not be altered or suspended for any particular Reseller(s). Heinimex will not discuss any conditions of acceptance of or related to this Policy.
